These Terms & Conditions ("Terms") govern every proposal, quotation, order and agreement between Codersworld Infotech ("we", "us", "our") and the client ("you", "your") for software development, web and mobile application development, design, hosting, maintenance, digital marketing and related services ("Services"). By accepting a proposal, paying an invoice or instructing us to begin work, you agree to these Terms.
1. Proposals and scope of work
- Every project starts with a written proposal or statement of work ("SOW") describing the deliverables, timeline, assumptions and price. Only the items listed in the SOW are included.
- Proposals are valid for 30 days unless stated otherwise.
- Anything not expressly listed in the SOW — additional pages, screens, features, integrations, content creation, data entry, third-party services — is out of scope and will be quoted separately as a change request.
- Estimates for time-and-materials work are good-faith estimates, not fixed prices, unless the SOW states a fixed fee.
2. Client responsibilities
You agree to:
- provide all content (text, images, logos, product data), credentials, access and approvals needed for the project on time;
- nominate one point of contact who is authorised to give feedback and sign off deliverables;
- review deliverables and respond to requests for feedback within 5 working days, unless another period is agreed;
- ensure you have the right to use all material you supply to us and that it does not infringe any third-party rights or applicable law.
Delays in providing content, feedback or approvals extend the timeline accordingly and may affect scheduling and cost.
3. Fees, invoicing and payment
- Unless the SOW says otherwise, fixed-price projects are billed as an advance (typically 30–50 %) before work starts, milestone payments during the project, and the balance before final delivery or go-live.
- Invoices are payable within 7 days of the invoice date. All fees are in Indian Rupees (INR) unless stated otherwise, and exclude GST and other applicable taxes, which are added at the prevailing rate.
- Overdue amounts may attract interest of 1.5 % per month and we may pause work, withhold deliverables or suspend hosted services until payment is received.
- Third-party costs (domains, hosting, SSL, licences, app-store fees, SMS/email credits, paid APIs, stock assets) are billed at cost plus any stated handling fee and are non-refundable.
- Cancellations and refunds are governed by our Cancellation & Refund Policy.
4. Timelines and delivery
- Timelines in the SOW are estimates based on the assumptions listed there and on timely client input.
- We deliver work in milestones. Each milestone is deemed accepted when you approve it in writing or when no written objection is received within 7 days of delivery.
- Go-live or deployment to a production environment constitutes acceptance of the deliverables deployed.
5. Revisions and change requests
- Design deliverables include the number of revision rounds stated in the SOW (default: two rounds per deliverable). A revision round is a consolidated set of comments on the current version.
- Further revisions, changes to approved work or new requirements are handled as change requests and quoted before we proceed. Change requests may affect the timeline.
6. Intellectual property
- Client material. You retain ownership of all content, data, trademarks and material you supply to us.
- Deliverables. On receipt of full payment, ownership of the custom source code, designs and other deliverables created specifically for you under the SOW transfers to you.
- Our tools and know-how. We retain ownership of our pre-existing code, libraries, frameworks, templates, tools, techniques and know-how used in the project ("Background IP"). You receive a perpetual, non-exclusive licence to use any Background IP embedded in your deliverables as part of the delivered product.
- Third-party and open-source components remain subject to their own licences, which you agree to comply with.
- Until full payment is received, all deliverables remain our property and are licensed to you for evaluation only.
- Unless you opt out in writing, we may reference your name, logo and a description of the project in our portfolio and marketing material after go-live.
7. Confidentiality
Each party will keep the other's non-public business, technical and financial information confidential, use it only for the project, and protect it with reasonable care. This obligation survives for three years after the engagement ends. It does not apply to information that is public, already known, independently developed, or required to be disclosed by law. A separate NDA, if signed, prevails over this section.
8. Warranties and support
- We warrant that deliverables will perform materially in accordance with the SOW for 30 days after acceptance ("warranty period"). During this period we will fix reproducible defects in our work at no charge.
- The warranty does not cover issues caused by changes made by you or third parties, third-party services or updates, hosting environments not managed by us, misuse, or requirements not in the SOW.
- Support and maintenance after the warranty period, including security updates, platform upgrades, content changes and new features, are provided under a separate maintenance plan or billed at our prevailing hourly rate.
- Except as expressly stated, Services are provided "as is" and we disclaim all other warranties, including fitness for a particular purpose and uninterrupted or error-free operation.
9. Hosting, domains and third-party services
- Where we arrange hosting, domains, SSL or other third-party services on your behalf, they are subject to the provider's terms and availability. We are not responsible for outages, data loss or policy changes at third-party providers.
- You are responsible for keeping domain and hosting renewals paid unless a managed plan with us covers them. Expired domains or hosting may result in loss of the website and its data.
- Where we manage hosting, we take regular backups on a reasonable-efforts basis; you remain responsible for maintaining your own copies of critical data.
10. Content, compliance and acceptable use
- You are solely responsible for the legality, accuracy and appropriateness of the content, products and services offered through the deliverables, and for compliance with laws that apply to your business (including data protection, consumer, tax and industry regulations).
- We may decline or terminate work that we reasonably believe is unlawful, infringing, deceptive or harmful.
11. Limitation of liability
- To the maximum extent permitted by law, our total liability arising out of or relating to the Services, whether in contract, tort or otherwise, is limited to the fees paid by you for the specific deliverable giving rise to the claim during the preceding six months.
- We are not liable for indirect, incidental, special or consequential loss, including loss of profit, revenue, data, goodwill or business opportunity, even if advised of the possibility.
- Nothing in these Terms limits liability that cannot be limited under applicable law.
12. Termination
- Either party may terminate the engagement in accordance with the Cancellation & Refund Policy.
- On termination you will pay for all work performed and costs incurred up to the termination date. Sections 3, 6, 7, 11, 13 and 14 survive termination.
13. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics, power or internet failures, strikes, government action or third-party platform outages. Timelines are extended for the duration of the event.
14. Governing law and disputes
These Terms are governed by the laws of India. Any dispute will first be attempted to be resolved amicably between the parties within 30 days; failing that, it will be subject to the exclusive jurisdiction of the courts at Jaipur, Rajasthan.
15. General
- These Terms, together with the SOW and our Cancellation & Refund Policy, form the entire agreement and supersede prior discussions. Where the SOW conflicts with these Terms, the SOW prevails for that project.
- We may update these Terms from time to time; the version published on this page at the time of your order applies to that order.
- If any provision is held unenforceable, the remainder continues in effect. Failure to enforce a right is not a waiver of it.
- Notices must be in writing and sent to info@codersworld.com (for us) or to the email address on your invoice (for you).
